Please read these Terms of Service carefully. By using HelloCast or signing up for an account, you are agreeing to these Terms.

1. Definitions

1.1 About Us

HelloCast (aka "HelloCast" or the "Service") is an online software service offered through the URL hellocast.com (referred to as the "Website") that allows you to create and share business model canvases. HelloCast is owned and operated by HelloCast, LLC, a Colorado limited liability company. HelloCast has employees, independent contractors, and representatives (aka the "Team"). As a customer or representative of a customer, you are a "User" according to this agreement (aka "you").

1.2 About these Terms

By registering as a User or by using the Service, you accept these Terms of Service (aka "Terms", including our Privacy Policy) defining the terms and conditions under which you are allowed to use HelloCast, and how you will be treated as a User. If you have any questions, please contact us.

2. Account

2.1 Eligibility

In order to sign up for an account or use HelloCast, you must:

  1. be at least 18 years old and be able to enter into contracts;
  2. agree to the Terms (including the Privacy Policy); and
  3. complete the signup process with current and accurate information.

By using HelloCast, you represent and warrant that you meet all the eligibility requirements listed above. You also agree that you will not use HelloCast in any way that violates any laws or regulations.

2.2 Term

This agreement begins when you first use any HelloCast services. Entering your email and password and clicking the button represents officially "signing" these Terms.

If you sign up for HelloCast on behalf of a company or other entity, you represent and warrant that you have the authority and permission to accept these Terms on behalf of that company or entity.

2.3 Closing Your Account

You may close your account at any time. Additionally, non-paying accounts may be closed if they remain inactive for a period of 12 months.

HelloCast may refuse service, close accounts of any Users, and change eligibility requirements at any time.

Data associated with closed accounts may be deleted at any time.

2.4 Account and Password

You are responsible for all activity that occurs under your account, including activity by other people. You are expected to protect the confidentiality of your account & password.

If you become aware of unauthorized access to your account, you must change your password and notify us immediately.

3. Privacy

Your privacy rights and expectations are outlined in our Privacy Policy. By agreeing to these terms, you are also agreeing to our Privacy Policy. Please review the Privacy Policy to learn about:

  1. what information we collect about you;
  2. what we use that information for; and
  3. who we share that information with.

4. Payments & Subscriptions

As a User, you can subscribe to one the plans we provide, which provide additional features, content, and/or resources at a monthly, quarterly, or yearly cost. We also offer a free plan, which does not require subscription or payment.

4.1 Monthly Plans

Our monthly plans are posted on our Website and may be changed at any time. Payments are due monthly at the beginning of your monthly subscription term (the same or closest date to the day you made your first monthly payment).

4.2 Yearly Plans

Our yearly plans are posted on our Website and may be changed at any time. The price is listed as a "per month" price for convenience and comparison only. Payment is due in full at the beginning of each yearly subscription term (the same or closest date to the day you made your first yearly payment).

4.3 Renewing Plans

Subject to these terms, you may elect to renew your plan at the end of each subscription period. By default, all subscriptions are set to renew for the same period of time as the original subscription. To opt out of auto-renewal, simply let us know.

4.4 Downgrading Plans

When an account is downgraded to a plan with less features, HelloCast may disable access to and/or delete any content and features to comply with the new plan limits.

4.5 End of Subscriptions

When a subscription ends without renewal, the User's account automatically becomes a cancelled account. HelloCast may disable access to and/or delete any content and features to comply with HelloCast's cancelled account limits.

4.6 Subscription Changes

We may update our plan features and pricing at any time by posting revised plan features and/or pricing on our Website and/or by sending an email to the last email address you provided us.

4.7 Credit Cards

In order to process payment for your monthly subscription, you will provide us with accurate and current credit card information and authorize us to deduct recurring monthly charges against that credit card.

You represent and warrant that you are authorized to use that credit card, and that charges against that credit card will not be rejected.

Your payment information will be transferred over a secure encrypted connection to our payment provider(s), according to our Privacy Policy.

4.8 Refunds

Users who begin a monthly or yearly subscription have 7 days after purchase to cancel and receive a full refund. After this cancellation period ends, all purchases are final and all charges are non-refundable.

You will not be entitled to a refund under any other circumstances.

5. Rights

5.1 Our Rights

You will respect our proprietary rights in the Website and the software used to provide the Service, including but not limited to patents, trademarks, and copyrights. You will ask us before using any brand assets.

You represent and warrant that you have permission to use all content that you upload, input, save, and in any other way cause to interact with the Service. We may use and disclose the content you provide to the Service only as described in these Terms and our Privacy Policy.

7. Fine Print

7.1 No Warranties

The Service is provided as is, without warranty of any kind, either express or implied. Your use of and/or reliance on the Services is done at your own risk with no representations or warranties from HelloCast.

7.2 Governing Law & Disputes

These Terms shall be governed by the laws of the State of Colorado, United States of America. Disputes shall be resolved under the jurisdiction of the state or federal courts located in Denver County, Colorado, United States of America.

7.3 Severability

If any term of this agreement is found to be invalid or unenforceable, that term will be severed from this agreement and the remainder of the Terms will still apply.

7.4 Indemnification

You agree to indemnify and hold harmless HelloCast and its Team from all liabilities, claims, expenses, and fees that occur as a result of your use or mis-use of the Service or from third-party claims.

7.5 Survivability

Upon termination or account closing, sections 5, 6, 7, 8, and 9 of these Terms will continue to apply.

7.6 Formatting

The formatting and titles in this agreement are only provided for organizational purposes, and do not convey the way the Terms are meant to be interpreted.

7.7 Electronic Communication

You consent to receive all notices, agreements, disclosures, and other information (aka "Communications") from HelloCast electronically. Communications will be sent via email to the last email address you provided us.

7.8 Changes

We may change any of these Terms (including the Privacy Policy) by posting revised Terms of Service on our Website and/or by sending an email to the last email address you provided us. Unless you close your account within 7 days, the updated Terms will be effective immediately and apply to your continued use of the Website and Service.

Additionally, we may change the Website, Service, or any features of the Website or Service at any time.

8. Limitation of Liability

To the fullest extent permitted by law: (1) HelloCast shall not be liable for any damages, including but not limited to damages for loss of profits, use, data, or other intangible losses; and (2) HelloCast's total liability to you shall not exceed the amounts paid by you to HelloCast over the prior 12 months.
